1. Acceptance of These Terms
By creating an account, accessing, or using Healx (the "Platform"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, do not use the Platform. "You" and "User" mean any person who uses the Platform, whether as a "Caregiver" (a person offering care services) or a "Care Seeker" (a person seeking care services for themselves or another).
You must be at least 18 years old to use the Platform.
2. What the Platform Is, and Is Not
The Platform is a neutral venue. We provide an online directory, search, messaging, and payment-processing tools that allow Caregivers and Care Seekers to find each other, communicate, and independently decide whether to enter into a care arrangement.
We are NOT:
- a home health agency, home care agency, nurse registry, or healthcare provider of any kind;
- a referral agency, staffing agency, employment agency, or placement service;
- the employer, joint employer, principal, partner, or agent of any Caregiver;
- a party to any agreement between a Caregiver and a Care Seeker.
We do not provide, supervise, direct, or control care services; select or assign Caregivers to Care Seekers; set, suggest, or negotiate Caregivers' rates, hours, schedules, or working conditions; train, evaluate, discipline, or terminate Caregivers; or guarantee the quality, safety, legality, or outcome of any care arrangement.
Any care agreement formed between a Caregiver and a Care Seeker is solely between those two parties. All decisions about whether to hire, be hired, and on what terms belong exclusively to the Users involved.
3. Independent Relationship of Caregivers
Caregivers are independent professionals. Nothing in these Terms or in your use of the Platform creates an employment, agency, partnership, joint-venture, or franchise relationship between any Caregiver and the Company. Caregivers:
- set their own rates, availability, service offerings, and service areas;
- decide, in their sole discretion, which Care Seekers to communicate with and work for;
- are solely responsible for their own federal, state, and local tax obligations, including self-employment taxes;
- are solely responsible for obtaining and maintaining any insurance they choose or are required to carry, including professional liability insurance;
- are solely responsible for complying with all laws, regulations, and professional standards applicable to the services they provide, including the nurse practice act and scope-of-practice rules of each state in which they provide services, and any licensure, certification, or registration requirements of that state.
The Company does not withhold taxes, provide workers' compensation coverage, or provide any employment benefits to Caregivers.
4. Accounts and Eligibility
You agree to provide accurate, current, and complete information when creating an account and to keep it updated. You are responsible for all activity under your account and for safeguarding your credentials.
Caregiver eligibility. Caregivers who represent themselves as holding a professional credential (RN, LPN, CNA, HHA, CMA, or similar) must hold that credential in active, good standing and must provide accurate license or certification information. Caregivers must hold the credential in the state where they provide services and are responsible for confirming that their credential is valid in that state. Misrepresenting a credential is grounds for immediate removal and may violate state law.
Care Seeker eligibility. Care Seekers represent that they are seeking care for themselves or for a person for whom they are authorized to arrange care.
Where the Platform is available. The Platform is currently offered only in the State of Kansas. Caregivers may list only where they hold the credential they represent and serve ZIP codes within Kansas, and Care Seekers may search only within Kansas. We may open additional states over time; until we do, we do not accept listings or searches outside the states in which we operate.
5. Credential Verification: Scope and Limits
Where a Caregiver provides professional credential information, we may check that information against publicly available registries maintained by state boards of nursing, state nurse aide registries, or similar bodies in the state in which the Caregiver is credentialed, and may display a badge reflecting the result, the registry consulted, and the date checked.
Verification availability varies by state and by credential type. We may be unable to verify some credentials, and an unverified Caregiver is not necessarily unqualified. Caregivers without a displayed badge are labeled as unverified.
A verification badge means one thing only: that on the stated date, the identified credential appeared in the relevant public registry as active and in good standing. It is not a background check, an endorsement, a guarantee of competence, character, or safety, or a representation about the Caregiver's fitness for any particular engagement. Credentials can lapse, be suspended, or be revoked after our check. Care Seekers are solely responsible for their own screening, interviewing, reference-checking, and hiring decisions.
Optional third-party background checks, where offered, are performed by independent consumer-reporting agencies subject to their own terms and the Fair Credit Reporting Act. We do not conduct background checks ourselves and make no representations about their completeness or accuracy.
6. Fees
Care Seeker Connection Fee. A one-time fee of $30 allows a Care Seeker to initiate contact with up to five (5) Caregivers during a thirty (30)-day period beginning at purchase. This fee purchases access to the Platform's communication features only; it is not a payment for care services and does not guarantee any response, match, or hire. The fee is non-refundable once contact information or messaging access has been used, except as required by law.
Caregiver Listing Subscription. Creating and maintaining a listing on the Platform is free, with no payment method required and no time limit. A Caregiver whom no Care Seeker ever contacts remains listed at no charge indefinitely.
When a Care Seeker first sends a Caregiver a message through the Platform, the Caregiver is asked to provide a payment method in order to send replies. Providing one begins a thirty (30) day period during which nothing is charged. At the end of that period, a subscription of $10 per month begins and renews monthly until cancelled. Caregivers may cancel at any time, effective at the end of the current billing period, after which the listing is unlisted.
What the subscription fee is for. The subscription fee is charged for maintaining a published listing that is visible and reachable to Care Seekers searching the Platform. It is not a placement fee, finder's fee, commission, or any payment contingent on a Caregiver obtaining work, and it does not vary with whether, how often, or on what terms a Caregiver is engaged. A Caregiver who provides no care services pays the same amount as a Caregiver who provides a great deal.
Declining to provide a payment method. A Caregiver who does not provide a payment method keeps their listing and remains visible to Care Seekers. They are simply unable to send replies until a payment method is provided. Messages already received remain fully readable to them, and nothing already delivered is withheld, hidden, or abridged.
Confirmed Match. A "Confirmed Match" occurs when either the Caregiver or the Care Seeker indicates through the Platform that they have agreed to a care arrangement. A Confirmed Match enables the Care Seeker to leave a review of the Caregiver. It has no effect on fees, no charge arises from it, and it is not a condition of any charge.
Nonpayment. If a subscription payment fails, our payment processor will attempt it again over approximately ten (10) days and will notify you. If payment is not ultimately completed, the Caregiver's profile will be unlisted (hidden from search and messaging) until payment resumes. Unlisting is never a deletion: profile data, credentials, reviews, and message history are retained in full, and the listing is restored when payment succeeds.
Payment processing is provided by third-party processors (e.g., Stripe) subject to their terms. We do not store full payment card numbers. Payments for care services themselves, if any, are arranged and made directly between Care Seeker and Caregiver; the Company is not a party to those payments.
Fees and fee structures may change prospectively with at least thirty (30) days' notice.
7. Prohibited Conduct
You agree not to:
- misrepresent your identity, credentials, experience, or any material fact;
- use the Platform to seek, offer, or provide services unlawful in the relevant jurisdiction, or services outside the scope of your license or certification;
- harass, threaten, defraud, exploit, or abuse any User, or any person receiving care;
- solicit Users for any competing service, or systematically extract contact information to bypass the Platform's connection process before a Connection Fee has been paid;
- post false, misleading, defamatory, or infringing content, including fake reviews;
- use the Platform on behalf of any staffing agency or intermediary without our written consent;
- interfere with the operation or security of the Platform, or access it by automated means without consent.
We may investigate suspected violations and may suspend or remove any account, profile, or content at our discretion, with or without notice.
8. Assumption of Risk; User Responsibility
In-home care involves inherent risks. You acknowledge and agree that:
- the Company does not screen Users beyond the limited registry checks described in Section 5, does not supervise any care, and is not present for any interaction between Users;
- Care Seekers are solely responsible for evaluating and selecting Caregivers, including verifying qualifications, checking references, obtaining background checks, and supervising access to their home and to any care recipient;
- Caregivers are solely responsible for evaluating Care Seekers and the safety and suitability of any work environment;
- any decision to meet, hire, work for, or admit another User into a home is made solely by the Users involved, at their own risk.
To the maximum extent permitted by law, you release the Company and its members, managers, officers, and agents from any claims, damages, or liabilities arising out of or relating to any interaction, agreement, or dispute between Users, including any act or omission of any Caregiver or Care Seeker, and any injury, loss, or damage occurring in connection with care services.
9. Reviews and Content
Users may post reviews, profile content, and messages ("User Content"). You retain ownership of your User Content and grant the Company a non-exclusive, worldwide, royalty-free license to host, display, and distribute it in connection with operating and promoting the Platform. Reviews must reflect genuine, first-hand experience. We may remove any User Content at our discretion but have no obligation to monitor content and are not responsible for it. Platform content other than User Content is owned by the Company or its licensors and may not be copied or exploited without permission.
Reviews of Caregivers. A Care Seeker may review a Caregiver following a Confirmed Match. Reviews are written by Care Seekers and are their own opinion, not a statement by the Company.
Right of reply. A Caregiver may post one public response beneath any review of them. The response appears alongside the review so that readers see both accounts.
Reporting a review. A Caregiver may report a review on the grounds that it is abusive or harassing, is not about care they provided, or comes from a person with whom they never had a conversation on the Platform. The Company does not adjudicate whether a review is deserved, accurate, or fair. We will not remove a review for being negative or unfavourable. Assessing the merits of criticism would require the Company to form a judgment about a Caregiver's work, which it does not do and which would be inconsistent with Section 2. Where a report is upheld, the remedy is removal of content that breaches these Terms; where it is not, the right of reply remains available.
Responsiveness. A Caregiver who does not respond to Care Seekers may be reminded that messages are waiting and offered the option to pause their own listing. The Company does not unlist a Caregiver for slow or absent replies, and pausing is always the Caregiver's own decision.
10. Privacy
Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms. Note for Caregivers: profile information you choose to publish (name, photo, credentials, rates, service area) is visible to Platform visitors by design.
11. Disclaimer of Warranties
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WITHOUT LIMITING THE FOREGOING, THE COMPANY MAKES NO WARRANTY REGARDING THE QUALITY, SAFETY, LEGALITY, RELIABILITY, OR CONDUCT OF ANY USER; THE ACCURACY OF ANY CREDENTIAL VERIFICATION OR BACKGROUND CHECK; THE OUTCOME OF ANY CARE ARRANGEMENT; OR THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY EXCLUSIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, PERSONAL INJURY, OR PROPERTY DAMAGE ARISING OUT OF OR RELATING TO THE PLATFORM OR ANY INTERACTION BETWEEN USERS, EVEN IF ADVISED OF THE POSSIBILITY; AND (b) THE COMPANY'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF (i) THE TOTAL FEES YOU PAID TO THE COMPANY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (ii) ONE HUNDRED DOLLARS ($100).
13. Indemnification
You agree to defend, indemnify, and hold harmless the Company and its members, managers, officers, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Platform; (b) your User Content; (c) your violation of these Terms or of any law or third-party right; (d) any care services you provide or receive; or (e) any interaction, agreement, or dispute between you and any other User.
14. Dispute Resolution; Governing Law
These Terms are governed by the laws of the State of Kansas, without regard to conflict-of-law principles.
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO PARTICIPATE IN A CLASS ACTION.
Binding individual arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its consumer arbitration rules then in effect. The arbitration will be conducted in Emporia, Kansas, or remotely at your election. The arbitrator, and not any court, has exclusive authority to resolve disputes about the interpretation, applicability, or enforceability of these Terms, except that a court decides whether the class waiver below is enforceable.
Jury trial and class action waiver. You and the Company each waive the right to a trial by jury and the right to participate in any class, collective, consolidated, or representative action. The arbitrator may award relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party's individual claim. If this waiver is found unenforceable as to a particular claim, that claim shall proceed in court and all other claims remain in arbitration.
Small claims. Either party may bring an individual claim in small-claims court instead of arbitration, if it qualifies.
Costs. Arbitration fees are governed by the administrator's consumer rules, which allocate most of the filing and arbitrator costs to the Company.
15. Termination
You may close your account at any time. We may suspend or terminate your access at any time, with or without cause or notice, including for suspected violations of these Terms or risk to other Users. Sections 2, 3, 5, 8, 9, and 11 through 14 survive termination.
16. Changes to These Terms
We may modify these Terms prospectively. Material changes will be announced via the Platform or email at least fourteen (14) days before taking effect. Continued use after the effective date constitutes acceptance.
17. Miscellaneous
These Terms, together with the Privacy Policy, are the entire agreement between you and the Company regarding the Platform. If any provision is held unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, sale, or reorganization. Notices to you may be given via the Platform or the email on your account.
Appendix A: Caregiver Sign-Up Acknowledgments (checkbox screen)
Present these as individual required checkboxes at Caregiver registration:

- ☐ I set my own rates, schedule, and clients, and I am responsible for my own taxes and any insurance I carry.
- ☐ I will only offer services within the scope of my current, valid license or certification, and my credential information is accurate.
- ☐ I understand listing is free, that replying to a family requires saving a card, and that my listing then costs $10 per month after a 30 day free period. This fee is for being listed and reachable, not for being hired, and my profile may be unlisted if payment fails.
- ☐ I have read and agree to the Terms of Service and Privacy Policy.
Appendix B: Care Seeker Acknowledgments (checkbox screen at Connection Fee checkout)
- ☐ I understand Healx is a directory, not a home health agency, and does not employ, screen (beyond registry checks), or supervise caregivers.
- ☐ I am solely responsible for interviewing, checking references, and deciding whom to hire.
- ☐ Any care arrangement and payment for care is between me and the caregiver directly.
- ☐ I understand the $30 fee unlocks messaging with up to 5 caregivers for 30 days and does not guarantee any response or hire.
- ☐ I have read and agree to the Terms of Service and Privacy Policy.
